Capital Markets - Euronext Market Listing

In 2000, the stock exchange from Paris merged with the Amsterdam, Lisbon and Brussels stock exchanges, and they formed the second largest exchange in Europe, Euronext. Euronext has almost 1,400 company listings, mostly domestic, but also foreign companies.

The Euronext Access markets - Brussels, Lisbon and Paris - have been established to target start-ups and SMEs that wish to join a stock exchange to finance their development and to benefit from the reputation bestowed on listed companies, but who do not meet the criteria for admission on Euronext’s regulated markets.

​

Operated by their respective Euronext market operators, these multilateral trading facilities (MTFs) provide a channel for disseminating buy and sell orders, with trades executed by Euronext -Member firms.

 

Because Euronext Access markets are not regulated markets under the EU Directive, the admission criteria are much simpler. Except for any relevant prospectus, the listing requirements for issuers on the Euronext Access markets are lighter as well. However, market abuse and transparency provisions apply in accordance with applicable laws.

Overview

 

As at April 2017, there were 226 companies listed on the Euronext Access market of Paris,13 companies listed on the Euronext Access market of Brussels and 10 companies listed on the Euronext Access market of Lisbon. These markets boast a broad industry sector diversification based on Industry Classification Benchmark (ICB) classification.

First Step

 

The Euronext Access markets target local companies that would like to finance the next phase of their development and benefit from the reputation bestowed on public companies, without having to satisfy all the requirements associated with a listing on the regulated markets.

​

They are, however, entry level markets and only represent the first step in a company’s development. Once a company has grown sufficiently, it is encouraged to consider a transfer to Euronext Growth and later to an Euronext regulated market.

Euronext Access+: Springboard to listing for start-ups and fast-growing SMEs
Within the Euronext Access market
; a new compartment called Euronext Access+ was created and designed for both start-ups and SMEs. Euronext Access+ helps them make a smooth transition to the market and adapt to its operations. This new compartment acts as a springboard to other Euronext markets. Companies admitted to trading on Euronext Access+  are given additional assistance and their shares benefit from greater visibility. Euronext Access+ will have its own listing criteria.

Constraints

The Euronext Access markets are not regulated markets. As such, the issuers of the financial instruments that are traded on Euronext Access and Euronext Access+ are not bound by requirements that apply to companies listed on a regulated market:

  • No obligation to publish accounts in IFRS format

  • No obligation to provide audited accounts (except on Euronext Access+)

  • No obligation to publish half-year accounts (except on Euronext Access+)

  • No minimum free float (except on Euronext Access+: minimum free float of €1m)

Characteristics

​

All transactions on the Euronext Access markets are cash settled, i.e. the buyer must pay the funds and the seller must deliver the equities once an order has been executed. Trading and data dissemination are handled by Euronext Brussels, Euronext Lisbon and Euronext Paris respectively.

​

Euronext Brussels, Euronext Lisbon and Euronext Paris may suspend the trading of a security in the interest of the market or on the issuer’s demand.
